ArsLegem’s lawyers under the lead of Oleksandr Petrov and Roman Kolos completed restructuring of one of the Ukrainian agriculture group of companies. The restructuring covered a number of jurisdictions. In addition to Ukrainian lawyers, the project involved lawyers from the Netherlands, Austria, and Switzerland.

Work of lawyers included legal due diligence focused on corporate governance mechanisms and effectiveness of holding companies’ structure, as well as tax issues. Special attention was paid to foreign currency restrictions imposed by the National Bank of Ukraine. Consequently, our lawyers developed more efficient structure and mechanisms of its implementation. Final step consisted in execution of changes to the holding structure and new corporate governance mechanisms.
