ArsLegem on Sell Side in M&A Transaction of Agriculture Group

03/17/2016

ArsLegem acted on a sell side in M&A transaction in relation to the group of agriculture companies holding in aggregate over 35,000 hectares of arable land in Kirovograd and Chernihiv regions, as well as a number of livestock farms.

Our role consisted in structuring of the transaction, drafting of transactional documents and legal support at closing. The transactional documents were governed by Ukrainian law with integration of certain mechanisms rather typical to a classical English law M&A, in particular those relating to pre-closing conditions and closing mechanics.

The client was represented by ArsLegem’s team under the lead of Roman Kolos.
