The ArsLegem team acted as legal counsel to the Vesco group of companies (part of UMG Investments within the SCM group) in connection with an investment project at the Irliava clay deposit in the Zakarpattia region of Ukraine. In early November, the partners’ joint company, MR Invest LLC, obtained a special permit for subsoil use for the extraction of clay at the Irliava site.

As part of this project, our team focused on the corporate and legal structuring of the relations between the partners, including designing and implementing longterm contractual mechanisms governing their interaction and cooperation, with a view to the joint and efficient management of the business.

This is Vesco’s first asset in Zakarpattia region. Before the fullscale invasion of Ukraine by the Russian Federation, the group’s mining portfolio in Ukraine consisted of deposits located in the Donetsk region. In Ukraine, the group comprises six companies holding 12 special permits for subsoil use. Vesco also owns companies in Spain, Italy, Serbia, Bosnia, India, Poland and Romania.

We are grateful to the Vesco group for its trust and the opportunity to advise on the creation of a balanced partnership model that combines mining and manufacturing businesses and promotes industrial investment in the western regions of Ukraine.
